AmCham AGM, DoubleTree by Hilton, Burlington Road, Dublin

NOTICE IS HEREBY GIVEN that the Fifty-third Annual General Meeting of the American Chamber of Commerce Ireland will be held in the DoubleTree by Hilton Hotel, Burlington Road, Dublin 4 at 12.00 noon on Friday 3rd July 2015 for the following purposes:-


ORDINARY BUSINESS

 

1. To approve the Minutes of the 52nd Annual General Meeting held on 4th July 2014. Click here to view the minutes.


2. To receive the Report of the Honorary Secretary-Treasurer and to consider, and if thought fit, adopt the Report of the Board and audited Statement of Accounts for the period ended 31st December 2014. Click here to view the Statement of Accounts


3. Election of new Directors.


4. Re-election of Directors.


5. Election of Officers.


6. To approve the reappointment of the Auditors.


7. To receive the President's Address.

 

Special Resolution

To consider and, if thought fit, pass the following resolution as a special resolution

That the existing Constitution of the Chamber be amended as follows :

Articles of Association

That Article VIII Section 4 shall be amended by the addition of the following words into Section 4 as follows:

After the words ""he (she) shall" the words ",unless otherwise agreed by the Board," shall be inserted and after the words "after a lapse of one year." the words "The Board shall have the authority to extend a Directors term by up to 2 additional year(s) whereupon on the expiration of any such additional year(s) any such Director shall be deemed automatically to have resigned as a Director at the end of such additional period and he (she) shall be eligible for further election only after a lapse of one year." shall be inserted so that the new Article VIII Section 4 reads as follows:

Section 4 - After a Director shall have served two consecutive terms of three years each, he (she) shall, unless otherwise agreed by the Board, be eligible for further election only after a lapse of one year. The Board shall have the authority to extend a Directors term by up to two additional year(s) whereupon on the expiration of any such additional year(s) any such Director shall be deemed automatically to have resigned as a Director at the end of such additional period and he (she) shall be eligible for further election only after a lapse of one year.
